Andy called the meeting to order at 9:08 pm.

Old Business News & Notes

  • Rabbit laser hinges are installed. Gas shocks will be here on Friday. Bill will install them when they get here.
  • Andy is getting pricing for a fiber laser. Further research and potential FAP are on hold until we know what the new door system (higher priority) will cost.


Lawsuit Update

Raj reports we are still waiting for the judge to rule on motions filed that are critical to moving forward. Most notably: can a non-voting non-stock corporation be self-represented (usually must be represented by council)? Raj will file another motion to compel/nudge the court to rule on prior motion. Net/net, we don’t know if we need to have representation on Jan 24 court date. Holidays may be causing delays, the judge has a full docket . . .

General Discussion

Kevin and Sean expressed concern the proposed 2023 budget was not posted by 11/30. Tiffany stated the Tim Miller did post the budget and it is on the wiki.

They also voiced concern about/frustration with the inability of the organization to clearly state a current voting quorum number, and that the manner of quorum calculation hasn't been communicated to the membership. Tiffany outlined in general the various pieces of information required to determine quorum and the difficulty of gathering the information - many moving parts and great complexity involved to meet bylaw requirements around quorum. Sean suggested possibly hiring a profession services firm or individual to determine quorum. Kevin suggested changing the bylaws to something we can more easily manage.

Andy requested an action item to address the "goat rodeo" (Sean's term) that determining quorum has become.

Action Item: Sean will proposed a date and time for a meeting where the current manner of calculating quorum will be outlined and documented, and recommendations for improving the process will be logged. Kevin volunteered to hslp Tif put together a Visio on the current process.

Andy asked Sean to post a brief outline of his concerns to the member list.

Elections

Andy, Tif, Tim, Bill, Charles, and Raj will all run again positions. Ann will retire.
