* Be aware that the Kentucky Colonel Grant will impact our financial picture in the coming months.  Large expenditures have been made using LVL1 funds for new equipment that will be subsequently reimbursed by grant funds.  Expect a net dip, then an equivalent net jump, with the impact ultimately being net neutral.

Agenda

Old Action Items

  • Revision of the Waiver Stuff - Raj reaching out to 3 lawfirms (stole keenon, jackson kelly, for nonprofit council, 2 main issues: new case law (minors), degree of specificity (how vague can we be about the risks assumed to still remove liability.) is still true: first priority is the 'conversation', still the case?
  • Sump Pump with notification capability - tabled till warmer weather waiting on plasma cutter, also waiting on deep cycle battery 12V(Charles maybe otherwise let's purchase) also need to evaluate piping - potential for alternative coverage as grate
  • 2nd Sink - Targeting after Makerfaire before thanksgiving/ holiday timing
    • Schedule plumber to help rebuild the drain and arrange the secondary sink, (mild handwashing vs intense handwashing) labeling and separation to maintain appropriate use
  • Member Shelves - Finish follow up with corresponding folks and shelves. Move toward the task of Big Member storage, notice of a Space Cleanup event?
    • Goals for the Back - move the damn bed - making room for MakerFaire Preparation

Old Business

  • LVL1 Woodshop Dust Mitigation Project
    • woodshop update? are the makership students deactivated, project concluded or still collaborating? could we produce a summary of this impact? Potential for another round?
    • a visitor in charge of scout projects came by and was flocked with ideas but has this communication remained active??
  • LVL1 Space Temperature Monitoring Project = As reported here [link]
    • Loc-a-Doc's Phase 2 hardware installation continues to expand in scope and functionality. There are new online views using the online Blynk app.
    • We are considering ways to expand the view of the online temperature data to interested members. Join our team if you are interested.
    • We missed the golden opportunity for valuable data during the past cold snap, but are proceeding with the installation to be prepared for this summer and next winter.

Membership Report

VP/CMO JamesM and Treasurer JimD continue to collaborate to confirm LVL1 membership. This is a trial reporting for the June financial records that show:

  • Pike13 shows 3 members made a combined 5 overdue membership payments (5 x $65 = $325.00) against outstanding invoices for membership in prior months.
  • Pike13 shows 60 members made on-time membership payments (60 x $65 = $3,900.00) on their current June invoices for their June memberships.
  • Pike13 shows 4 members made a combined 12 failed transactions attemting to pay current invoices that remain open.
  • PayPal shows 5 members making membership payments via PayPal (5 x $65 = $325.00) during June.
  • A cash-paying member has fallen behind for three months resulting in automatic membership cancellation.
  • LVL1 has one current makership (for Danika effective Jun/Jul/Aug).

Treasurer Report

  • August was another good month. Revenue is increasing trending above budget. Expense is increasingly trending below budget. Net is increasingly favorable. We have NET funds for current purchases. Here is the LVL1-FinancialSummary-202608.pdf with the following values:
    • August 2026 REVENUE totaled $4,771.62.
    • August 2026 EXPENSE totaled ($3,469.97).
    • August 2026 NET was cash POSITIVE at $1,301.65, and year-to-date we are cash positive at $7,688.68.
  • Be aware that the Kentucky Colonel Grant will impact our financial picture in the coming months. Large expenditures have been made using LVL1 funds for new equipment that will be subsequently reimbursed by grant funds. Expect a net dip, then an equivalent net jump, with the impact ultimately being net neutral.
  • The trial LVL1 RAMP.com account is working well to enable the Treasurer to create virtual credit cards that can be assigned to a specific purchase by a specific member as needed. It was used to facilitate procurement of the Kentucky Colonel grant equipment (two Bambu 3D printers, one Grizzly wood planer and one metal shop plasma torch). It's use is intended to become the new-and-improved financial process for upcoming FAPs.
  • Your Treasurer is also pleased to share that LVL1 2026 IRS-990EZ filing was submitted online and accepted by the IRS on Sept. 11; well in advance of the extended no-penalty Nov. 15 due date. It is archived (here) on [the Lvl 1 Directors] Drive.
  • Unexpectedly, there is a new (somewhat complicated) issue to discuss regarding the timing of the annual rent increases in our signed lease. I am in communication with Raj and KevinC about how to approach Barrett regarding this. At risk of too much detail, this (link) charts the situation, summarized in the following bullets:
    • There was an extended 19 month time period (January 2023 to September 2025) with no effective lease agreement in place.
    • During that time period, LVL1 voluntarily made annual increases in our rent payments as a gesture of good faith, from $1,500 to $2,000, then to $2,200 per month.
    • Raj, Jim, and Barrett negotiated the final signed 5-year lease to start on September 1, 2025 to August 31, 2030.
    • At the signing, LVL1 was already voluntarily paying at the year two $2,200 monthly rate. The wording of the signed lease shows LVL1 could have dropped back to paying at the first year rate of $2,000 monthly rate (September 1, 2025 to August 31, 2026), and then the year two $2,200 rate (September 1, 2026 to August 31, 2027) with the year three rate of $2,420 being first due on September 1, 2027. LVL1 chose not to press that point.
    • Now, one year later, Tasman has invoiced for our October 2026 payment to be at the increased year 3 rate of $2,420 per month.
    • This increase to the year 3 rate at this time was not expected until October of 2027.

What is our group's decision for what to do about this at this time; nothing(?) or something(?)
